Deals and M&As this week: Scentbird, Gryphon Investors, DERMAdoctor

Scentbird has raised $18.6m through a series A funding round led by Goodwater Capital.

The round was also supported by Y Combinator, Rainfall Ventures, FundersClub, Soma Capital, Scrum Ventures and ERA.

The firm intends to use the funds to accelerate product development, enhance customer experience and hire employees for market expansion.

DERMAdoctor plans to raise between $13.12m and $16.87m through an initial public offering (IPO) of 1.875 million shares priced between $7 and $9 each.

Based in the US, DERMAdoctor is a developer and producer of skincare products.

The underwriters have a 45-day option to buy up to an additional 281,250 shares to cover any over-allotments.

ThinkEquity has been selected as the underwriter for the offering, while Gracin & Marlow and Reed Smith are the legal advisors to DERMAdoctor.

The firm intends to use the funds to support the repayment of outstanding balances, accounts payable, inventory acquisition, product development and marketing activities, as well as working capital and general corporate purposes.

TRC Capital Corporation has announced an $88.1m mini-tender offer to buy two million shares priced at $44.05 a share in Church & Dwight Co.

Based in Canada, TRC is a private equity firm, while Church & Dwight is a personal care, household and speciality products producer based in the US.

The mini-tender constitutes less than 5% of Church & Dwight’s outstanding shares.

Bain Capital Private Equity has collaborated with John Humble and Aaron Finlay to acquire BWX for $603.1m, representing a 50% premium to BWX’s closing price on 18 May 2018.

Based in the US, Bain Capital is a private equity and venture capital firm, while BWX is a natural body, hair and skincare products manufacturer based in Australia.

Gryphon Investors and the owners of Milani, Ralph Bijou and Laurie Minc have agreed to acquire a majority stake in New Milani Group, doing business as Milani.

Both companies involved in the acquisition are based in the US.

Moelis & Company is the financial advisor to New Milani and its owners, while Financo is the financial advisor to Gryphons Investors for the transaction.

Sheppard, Mullin and Richter & Hampton are the legal advisors to New Milani and its owners, whereas Kirkland & Ellis is the legal advisor to Gryphons Investors.
